Halo Gallery Trading as Halo Fine Art Limited Terms and Conditions for the Supply of Goods
Please pay special attention to Clause 10 regarding Limitations of Liability.

1. Interpretation
1.1 Definitions
"Force Majeure Event" – Defined in Clause 11.
"Goods" – The products we offer for sale.
"Order" – Your selection of Goods from our gallery display or stock, or as detailed on our
Sales Invoice.
"Terms" – The terms and conditions set forth in this document.
"We/Us" – Halo Fine Art Limited, registered in England and Wales (Company No.
10458858), with its Registered Office at 11 Pope Street, Dorchester, DT1 1GW.
"Writing"; – Includes email and fax.
"You" – The individual, company, or entity purchasing Goods from us.
1.2 Headings
Headings are for reference only and do not affect the interpretation of these Terms.

2. Basis of Sale
2.1 These Terms, the Order, and our price list constitute the entire agreement between you and us, overriding any previous agreements or representations unless confirmed in writing by an authorised representative.
2.2 Goods are not sold as investments, and no assurances of future value are given. Any
statement regarding investment potential must be confirmed in writing.
2.3 Product descriptions, images, or samples are for illustrative purposes only and do not form part of the contract.
2.4 If any discrepancies exist between these Terms and the Order, the Order prevails.
2.5 Your Order is an offer to purchase Goods. We reserve the right to accept or reject it at our discretion.
2.6 A contract is formed when:
We issue a Sales Invoice; or
We notify you that the Goods are ready for collection/delivery—whichever occurs first.
Ownership of the artwork transfers to you once full payment is received, and you are notified that your Goods are ready for collection/delivery.
2.7 Please reference your Sales Invoice number in all related correspondence.
2.8 We reserve the right to amend these Terms periodically. Any changes will apply to new Orders unless legally required to apply to existing Orders.

3. The Goods
3.1 We warrant that Goods will:
Conform to their description.
Be of satisfactory quality.
Be fit for their intended purpose.
Be free from material defects.
Comply with UK regulations.
3.2 This warranty is in addition to your statutory rights.
3.3 This warranty excludes damage due to fair wear and tear, improper use, accidents, or
unauthorised modifications.
3.4 We take reasonable measures to ensure Goods are properly packed and arrive in good condition.
3.5 These Terms also apply to any replacements or repairs provided under warranty.

4. Delivery
4.1 You may collect Goods or request delivery for an additional charge.
4.2 Delivery is complete when Goods are made available for collection or delivered to you.
4.3 Estimated delivery dates are not guaranteed. We will notify you of any delays.
4.4 If you do not collect the Goods within seven days of notification, we may charge storage fees (£10 per day). Failure to collect within 14 days may result in resale.
4.5 If delivery is made in instalments, each constitutes a separate contract.
5. Returns
5.1 If Goods are faulty or do not conform to these Terms, notify us immediately. We may:

Offer a full/partial refund.
Replace the Goods.
Repair the Goods.
5.2 Goods must be returned in original condition, with the Order number clearly displayed.
5.3 Claims will not be accepted for natural colour changes in artworks.

Deposit Policy
When a deposit is paid for an artwork, it is refundable within 28 days from the date of payment. After this period, deposits will not be refunded under any circumstances. This policy applies to all orders, including commissioned or bespoke pieces.

6. Cancellation
6.1 If you purchase as a consumer (not in person at our premises), you have 14 days to
cancel unless the Goods are bespoke or commissioned.

6.2 Upon cancellation, we will refund:
The price paid (less reductions for handling damage);
Delivery charges, up to the least expensive available option.
6.3 Refunds will be processed within 14 days via the original payment method.
6.4 If Goods have been delivered before cancellation, you must return them promptly. Return shipping costs are your responsibility unless the item is faulty.
6.5 Cancellation outside statutory rights requires our agreement. Deposits may be retained as store credit.

7. Title and Risk
7.1 Responsibility for the Goods transfers upon delivery or collection.
7.2 Ownership transfers only upon full payment.

8. Price and Payment
8.1 Prices are as listed at the time of Order confirmation and may change without notice.
8.2 Prices include VAT. VAT adjustments apply to unpaid Orders if rates change.
8.3 Delivery charges are additional.
8.4 Pricing errors may result in Order cancellation.
8.5 Payment is required in full before collection or delivery.
8.6 You are responsible for any import duties or additional taxes.

9. Intellectual Property
9.1 Purchasing original artwork does not grant intellectual property rights. Reproduction or licensing rights remain with us unless otherwise agreed in writing.

10. Limitation of Liability
10.1 We are only liable for foreseeable losses caused by our breach of contract or
negligence.
10.2 If an artwork’s provenance is disputed despite our due diligence, our liability is limited to a refund of the purchase price.
10.3 We exclude liability for statements not confirmed in writing.
10.4 We do not exclude liability for:
Death or personal injury due to negligence.
Fraud.

Other liabilities that cannot be excluded by law.

11. Force Majeure
11.1 We are not liable for failure to perform due to events beyond our control, including but not limited to:
Industrial action.
Civil unrest, war, terrorism.
Natural disasters.
Transport or telecommunication disruptions.

11.2 Our obligations are suspended during Force Majeure events.

12. Assignment
You may not transfer your rights without our consent. We may transfer our obligations to another entity.

13. Notices
Notices should be sent to Halo Fine Art Limited at our registered address. Email notices are deemed received within 24 hours; postal notices within three days.

14. General
If any clause is found unenforceable, the remainder of the Terms remains in effect.
